1. Agreement to Terms
By purchasing, leasing, operating, or otherwise using any vending machine, equipment, software, or services provided by Grabot Inc. ("Grabot," "we," "our," or "us"), you ("Customer," "Operator," or "you") agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, you may not use our products or services.
2. Products and Services
Grabot provides automated vending machine equipment, related hardware, software platforms, remote monitoring services, payment processing integrations, maintenance support, and related services for commercial use in the United States.
2.1 Equipment Purchase and Lease All equipment sales and lease agreements are governed by the specific contract executed between Grabot and the Customer. These Terms apply in conjunction with, and do not supersede, any executed purchase or lease agreement.
2.2 Software and Platform Access Grabot may provide access to a proprietary management platform ("Grabot Dashboard") for inventory tracking, sales analytics, remote diagnostics, and payment reconciliation. Access to the Grabot Dashboard is licensed, not sold, and is subject to these Terms.
2.3 Service Plans Optional service and maintenance plans are available and governed by the specific plan terms provided at the time of purchase.
3. Operator Responsibilities
As a Grabot machine operator, you agree to:
- Operate all equipment in compliance with applicable federal, state, and local laws and regulations, including health codes, consumer protection laws, and ADA accessibility requirements where applicable.
- Obtain all necessary permits, licenses, and approvals required to place and operate vending machines at your location(s).
- Maintain the machines in a clean, sanitary, and safe condition at all times.
- Stock only products that meet applicable food safety standards and labeling requirements under FDA regulations.
- Ensure that pricing displayed on machines is accurate and compliant with applicable truth-in-advertising laws.
- Promptly notify Grabot of any equipment malfunction, damage, vandalism, or safety concern.
- Not tamper with, reverse engineer, or modify any Grabot hardware or software without prior written authorization.
4. Payment Terms
4.1 Equipment and Services Payment terms for equipment purchases, leases, and service plans are specified in your contract or invoice. Overdue balances may be subject to a late fee of 1.5% per month or the maximum rate permitted by law, whichever is lower.
4.2 Consumer Transactions Grabot's cashless payment systems process end-consumer transactions at the point of sale. Grabot is not responsible for disputes between operators and their end consumers regarding product quality, pricing errors set by the operator, or unauthorized machine access.
4.3 Refunds and Disputes Equipment return and refund eligibility is governed by your purchase or lease agreement. For software subscription services, Grabot does not offer refunds for partial billing periods.
5. Warranty and Disclaimers
5.1 Limited Equipment Warranty Grabot warrants that new vending machine equipment will be free from defects in materials and workmanship for a period of one (1) year from the date of delivery, unless a different warranty period is specified in your sales contract. This warranty does not cover damage resulting from misuse, neglect, unauthorized modifications, vandalism, acts of nature, or failure to follow Grabot's operating guidelines.
5.2 Disclaimer of Implied Warranties EXCEPT AS EXPRESSLY STATED IN SECTION 5.1, GRABOT MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
5.3 Software and Platform THE GRABOT DASHBOARD AND ALL SOFTWARE SERVICES ARE PROVIDED "AS IS." GRABOT DOES NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION OF ITS SOFTWARE PLATFORM.
6. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GRABOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF GRABOT PRODUCTS AND SERVICES, EVEN IF GRABOT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
GRABOT'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO GRABOT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
7. Intellectual Property
All software, firmware, trademarks, logos, product designs, platform content, and proprietary technology associated with Grabot products and services are the exclusive intellectual property of Grabot Inc. or its licensors. No license or right is granted to you with respect to Grabot's intellectual property except as expressly set forth in these Terms or your applicable agreement.
8. Termination
Grabot reserves the right to suspend or terminate your access to the Grabot Dashboard or any software services upon breach of these Terms, failure to make payments, or conduct that Grabot determines, in its reasonable discretion, to be harmful to Grabot, its customers, or third parties. Termination of software access does not affect your obligations under any equipment purchase or lease agreement.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
Any dispute arising out of or relating to these Terms that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in the state where the Customer's primary business is located or, if unresolved, in Wilmington, Delaware. The parties waive any right to a jury trial and agree not to participate in class action proceedings.
10. Changes to These Terms
Grabot reserves the right to update these Terms at any time. We will provide notice of material changes by email or by posting an updated version on our website. Continued use of Grabot products or services after the effective date of revised Terms constitutes your acceptance of the changes.
